The New York State Department of State has revised the method in which it issues apostilles.

1. Revised Seal - The New York State Department of State Seal will be used for the apostille and authentications. The Great Seal of the State of New York will no longer be used.

2. Revised Method for Affixing Seal - Apostilles and authentications will be produced with a blue laser printed facsimile of the New York State Department of State Seal.

Legalization Requirements: Is Your Copy Acceptable for Legalization?

Only certified copies of Articles of Incorporation issued by NYS Department of State are acceptable for Apostilles. A certified copy will bear the Seal of the Department of State, the signature of the Secretary of State and the statement that the document is in fact a true and correct copy of the original document kept on file in the Office of the Secretary of State.

Will a notarized copy be acceptable for legalization by an Apostille or embassy seal?

No, only certified copies issued by NYS Secretary of State are acceptable.

Will a certified copy of Articles (Certificate) of Incorporation contain the names of officers, directors or shareholders of a business corporation?

The New York State does not require or maintain information regarding the names and addresses of officers, directors or shareholders of business corporations. The names and addresses of officers, directors or shareholders are internal records maintained by the corporation.

A copy of the Articles or Certificate of Incorporation (or any other document filed by the corporation) includes the name(s) and address(es) of the incorporator(s) and the name and address of the filer of the certificate of incorporation.

Is thee such a thing as incorporating nationally? Is a copy of the Certificate of Incorporation available of a federal level?

No. There is no mechanism in the United States to incorporate on the federal level. A company interested in incorporating (or forming a partnership or limited liability entity) must contact each state's licensing authority individually.
